If you decide to close your account(s) or become an inactive customer, our Privacy Policy will continue to apply to you.
If your IAR chooses to depart Juncture Wealth Strategies and (1) such termination of his/her contract is not initiated by Juncture Wealth Strategies against the IAR for cause, or (2) the IAR is not currently subject to complaints, investigations, or regulatory inquiries, then you agree to permit your IAR to possess data regarding your contact and account information. Since our firm's most recent annual amendment filed with the SEC on March 18, 2024, we had the following material change: We filed with the SEC to withdraw the registration of Juncture Asset Management ("JAM"), an entity affiliated by ownership with JWS. All investment management activities have been brought under the scope of JWS. There should be absolutely no impact on future or existing clients as it relates to fees and investment advisory services.
Juncture Wealth Strategies is dedicated to providing individuals and other types of clients with various investment advisory services. Juncture is a limited liability company formed in the State of Delaware, in business as an investment adviser since 2010, and owned indirectly by Barry S. Rhonemus, Jack A. Barker, and Bradley J. Haines.
Our Investment Advisory services are designed to assist clients in meeting their financial goals through the use of financial investments. We conduct at least one meeting with clients to understand their current financial situation, existing resources, financial goals, and tolerance for risk. Each portfolio is designed to meet a particular investment goal which we determine to be suitable to the client's circumstances, and is reviewed with the client at least annually.
We may propose an investment portfolio consisting of exchange traded funds, mutual funds, individual stocks, bonds, or other securities. JWS provides portfolio management using (1) proprietary strategies, (2) management to model portfolios, and (3) trading/implementation services for a Juncture IAR's investment models. We do not offer wrap fee programs.
We may provide financial planning services, subject to an agreement, for a fee, apart from any investment advisory service. The financial planning process includes retirement planning, business succession, insurance analysis, tax planning, estate planning document review, asset protection planning, and entity structure analysis. Clients are not required to implement recommendations related to a JWS financial plan.

JWS charges an advisory fee based on a percentage of assets under management. While fees may vary and there is no minimum fee, the maximum advisory fee charged by JWS and an IAR will not exceed 2.0% in aggregate. Advisory fees are billed on a pro-rata annualized basis monthly in arrears based on the value of the client's assets on the last day of the month, and are generally automatically deducted from the client's managed account.
Juncture charges annualized fees of up to 1%, depending on services provided and size and complexity of the retirement plan, paid monthly in arrears.
Financial plans are billed on a flat rate and negotiated annually. These fees are not contingent on and are not affected by assets placed in fee-based accounts.
Certain IARs may be licensed insurance agents and sell insurance products for sales commissions. Clients should be aware that these commissions could represent an incentive for the IAR to recommend insurance products. Clients always have the option of purchasing recommended investment and insurance products through other broker-dealers and insurance agents not affiliated with JWS.
A client wishing to terminate services needs to contact us in writing. Upon receipt, we will close the account and charge a pro-rata advisory fee for services rendered up to the point of termination.
We do not charge performance fees to our clients.

We do not require a minimum account size, however some investment strategies that we recommend may require a certain asset level to participate.
We use Behavioral, Fundamental, Quantitative, and Technical methods of analysis in formulating our investment advice and/or managing client assets.
All investing involves the risk of loss. Performance could be hurt by a number of market risks including: market risk, equity securities risk, foreign/non-U.S. investment risk, fixed income securities risk, options risk, mutual fund and ETF risk, money market fund risk, inflation and interest rate risk, hedging risk, cybersecurity risk, and force majeure events. Clients should carefully evaluate all applicable risks and realize that investing in securities involves risk of loss that clients should be prepared to bear.

Certain representatives of our firm are also licensed insurance agents and may offer insurance and annuity products for customary fees. Certain representatives have backgrounds as Certified Public Accountants, but do not provide income tax preparation or accounting services through Juncture. Juncture IARs may also make referrals to accountants, attorneys, or other specialists as appropriate to the client's needs.
Our Code of Ethics applies to all associated persons and emphasizes that our IARs are considered fiduciaries. As a fiduciary, it is an investment adviser's responsibility to provide fair and full disclosure of all material facts and to act solely in the best interests of each client at all times. We require all supervised persons to conduct business with the highest level of ethical standards and to comply with all federal and state securities laws at all times. A copy of our Code of Ethics will be provided promptly upon request.
We seek to recommend a custodian/broker who will hold client assets and execute transactions on terms that are overall most advantageous when compared to other available providers. Our firm recommends Charles Schwab ("Schwab") and U.S. Bank, N.A. as custodians. We do not acquire products and services with client brokerage commissions or direct client transactions to a particular broker-dealer in return for soft dollar benefits or client referrals.
We conduct client reviews of managed accounts on at least an annual basis, confirming that accounts are in line with investment objectives, appropriately positioned based on market conditions, and consistent with investment policies. We may review accounts more frequently following major market or economic events, the client's life events, or requests by the client.
We receive an economic benefit from our Custodians in the form of support products and services. Juncture pays referral fees (non-commission based) to unaffiliated accounting practitioners who refer prospective clients to Juncture in exchange for a share of the advisory fees collected. The fees earned by the Solicitor are not passed along to the client in any way.
Juncture is deemed by the SEC to have custody over client assets in two scenarios: (1) having client fees deducted directly from client accounts, and (2) providing clients Standing Letters of Authorization (SLOAs) for transferring client funds to third parties. Outside of these exceptions, Juncture does not have custody over client assets. Our firm has adopted appropriate safeguards in conjunction with the account custodian in instances where third party SLOAs are in force.
Upon a signed discretionary investment advisory agreement, our firm will accept discretionary authority to manage accounts designated by clients. Clients may limit our discretionary authority by signing a separate non-discretionary agreement.
Where Juncture has discretion over client accounts, we have delegated proxy voting responsibility over those assets. We subscribe to a proxy monitor and voting agent service offered by Broadridge Investor Communication Solutions, Inc., which includes access to proxy analyses with vote recommendations from Glass, Lewis & Company. We offer investment advisory services to retail investors and are also hired to manage investment models and client accounts as a sub-advisor by third parties. You will pay an ongoing asset-based fee at the end of each month based on the value of the cash and investments in your advisory account.
Your funds or assets are held at a qualified custodian such as Charles Schwab. We'll meet with you to understand your current financial situation, existing resources, goals, and risk tolerance, and recommend a portfolio that is monitored on a regular basis and rebalanced to meet your changing needs. We will contact you at least annually to discuss your portfolio.
You can choose either a discretionary account (we determine investments without asking for approval) or a non-discretionary account (you pre-approve what we buy and sell).
We do not have specified account minimums, however some strategies and investment products may require minimum amounts to participate.
You will be charged an ongoing monthly fee based on the amount and complexity of your relationship. We charge a maximum advisory fee of 2.0% of assets under management. The more assets you have in your advisory account, the more you will pay us. We therefore have an incentive to increase the assets in your advisory account in order to increase our fees.
You are responsible for all custodial and securities broker-dealer fees charged for executing transactions in your account. Some investments such as mutual funds, ETFs, and annuities impose additional fees that will reduce the value of your investment over time. You will pay fees and costs whether you make or lose money on your investments.
When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests:
Insurance Commissions: Our financial professionals are licensed to recommend insurance products for a commission. They have an incentive to recommend insurance products in order to increase compensation. We will always notify you of any insurance recommendation that will generate a commission for our firm.
Solicitation Arrangements: We have a solicitation agreement with an unrelated accounting firm for the introduction of their clients to JWS. These arrangements do not represent a conflict of interest to clients as no additional client charges are incurred.
Our financial professionals are compensated through a combination of salary and bonus. Salary is tied to the amount of client revenue generated from their advisory services and also includes product sales commissions. Bonuses are discretionary and reflect the overall success of the firm and the individual.
